While this is a remote position, the successful candidate must reside within 50 miles of a FedEx Freight location within the continental US. **POSITION OVERVIEW**: Provide legal counsel on matters relating to a broad range of securities and corporate law matters. **ESSENTIAL FUNCTIONS**: - Assist in the development of various corporate policies and programs, including Board committee charters, Corporate Governance Guidelines and insider trading and Regulation FD compliance - Provide drafting and other support with respect to Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, proxy statements, registration statements, earnings releases and other investor communications - Provide legal support to the Board of Directors and its committees, including developing meeting agendas and preparing minutes and other materials for meetings - Provide legal support on debt and equity financings and other corporate finance transactions - Provide legal support with respect to equity-based compensation plans, executive compensation matters, and Section - compliance - Monitor and maintain awareness of pending securities law and corporate governance regulations and developments - Comply with all applicable laws/regulations, as well as company policies/procedures - Perform other duties as required **Disclaimer**: This job description is general in nature and is not designed to contain or to be interpreted as a comprehensive inventory of all duties, essential functions and qualifications required of employees assigned to the job. **QUALIFICATIONS**: - Juris Doctorate degree from an A.B.A. accredited law school and appropriate admission to required state bar plus six (6) years’ experience and demonstrated competence as a practicing attorney in a law firm or in-house setting with primary emphasis on public company reporting and governance matters and capital markets transactions - Excellent interpersonal and relationship-building skills - Strong written and verbal communication skills - Ability to understand and resolve complex legal issues and respond quickly to clients and third parties - Excellent organizational and time management skills, strong initiative and ability to prioritize multiple assignments and meet deadlines - Strong research and analytical skills - **WORKING CONDITIONS**: - Fast-paced, deadline oriented - Some travel may be required **Pay Transparency:** The compensation listed reflects the pay range or rate of pay reasonably expected for this posted position at the posted location(s).
