Spark is building the financial infrastructure powering the next generation of institutional capital markets. Our products enable institutions to access on-chain lending, savings, liquidity and credit markets through transparent, scalable infrastructure. As institutional adoption of digital assets continues to accelerate, we're building the legal and commercial foundations required to support global financial institutions operating on-chain. We're looking for an experienced **General Counsel** to become Spark's principal legal advisor, partnering closely with leadership to enable commercial growth, support new products, and help navigate the evolving legal landscape surrounding digital assets and decentralized finance. #### The Role This is a highly commercial General Counsel position. Your primary focus will be supporting Spark's institutional business by structuring, negotiating and advising on complex commercial relationships across our lending, prime and savings products. You'll work closely with Business Development, Product and Leadership to ensure legal enables growth rather than slowing it down. Alongside commercial matters, you'll advise on corporate legal strategy, product development, governance and regulatory issues as Spark continues expanding its institutional offering. This is an opportunity to build and scale the legal function inside one of the leading on-chain financial infrastructure platforms. #### What You'll Do #### Commercial & Institutional Legal - Lead legal support across Spark's institutional products, including SparkLend, Spark Prime and Spark Savings. - Draft, negotiate and manage complex commercial agreements with institutional counterparties. - Structure strategic partnerships with banks, custodians, asset managers, fintechs and infrastructure providers. - Support lending, financing and commercial partnership agreements. - Build scalable contracting processes, legal playbooks and standard agreement templates. - Partner closely with Business Development throughout enterprise sales cycles to accelerate commercial execution. - Advise leadership on commercial negotiations, transaction structures and legal risk. #### Corporate & Strategic Counsel - Advise leadership on corporate governance and strategic legal matters. - Support capital raises, strategic investments and corporate transactions. - Manage external counsel across multiple jurisdictions. - Assist with international expansion and entity structuring. #### Governance & Intellectual Property - Advise on DAO governance and decentralized governance frameworks where required. - Support governance documentation and protocol-related legal matters. - Oversee Spark's intellectual property strategy, including software licensing, open-source licensing and technology agreements. #### Risk & Compliance - Develop scalable legal risk management frameworks. - Support regulatory compliance initiatives and internal governance policies. - Provide legal guidance relating to AML/KYC, sanctions and third-party risk where appropriate. - Manage litigation and external legal disputes when required. * * * - 10+ years of legal experience, with significant in-house experience. - Qualified lawyer in a major jurisdiction (US, UK, EU or equivalent). - Experience supporting high-growth technology or financial services businesses. - Strong background negotiating complex commercial agreements. - Experience advising executive leadership on strategic legal matters. #### Ideally, You'll Have Experience In - Financial infrastructure - Capital markets - Payments - Fintech - Enterprise software - Institutional lending - Digital assets - Prime brokerage - Custody - Tokenized assets Experience working within crypto or DeFi is beneficial but not essential.
