Agreement for Ohio County Jail Physician Services Purpose Company provides correctional healthcare services to county jails, detention facilities, temporary holding facilities, and related correctional institutions within the State of Ohio. Company desires to retain Physician as an independent contractor to provide professional physician services, including direct patient care, telehealth services, psychiatric services, specialty consultation, PRN coverage, on-call services, and related correctional healthcare services as assigned by Company and described in this Agreement and its exhibits. Physician agrees to provide such services pursuant to this Agreement, applicable law, applicable facility requirements, Company policies, facility security requirements, and the scope of services identified in Exhibit A. This Agreement is intended solely for physician services. It does not appoint Physician as a Facility Medical Director, Entity Medical Director, Health Authority, Responsible Physician, corporate clinical director, or peer review medical director. Any medical director, health authority, responsible physician, corporate medical director, or formal peer review appointment must be made through a separate written agreement or separate written designation signed by Company and Physician. This Agreement is separate from and independent of any ownership interest, officer role, management role, or other business relationship Physician may hold with Company unless expressly stated in a separate written agreement. Independent Contractor Status Physician shall provide all services under this Agreement as an independent contractor and not as an employee, agent, partner, joint venturer, or legal representative of Company. Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, entitlement to employee benefits, authority to bind Company except as expressly authorized in writing, authority to alter a Facility Contract, or authority to act as Company’s medical director unless separately appointed in writing. Physician shall be solely responsible for all federal, state, and local income taxes, self-employment taxes, workers’ compensation coverage, unemployment taxes, retirement contributions, professional expenses, and all other obligations arising from compensation paid under this Agreement. Company shall issue IRS Form 1099-NEC or other applicable tax documentation for compensation paid pursuant to this Agreement. Physician shall not be eligible for Company employee benefits, including health insurance, paid time off, retirement benefits, unemployment benefits, workers’ compensation benefits, or other employee benefits, unless separately required by law or expressly agreed in writing. Scope of Physician Services Physician shall provide professional medical services to incarcerated individuals at Assigned Facilities or through Company-approved or facility-approved telehealth systems. Services may include, as assigned in Exhibit A: - inmate medical evaluations and treatment; - sick call consultation and urgent care consultation; - chronic care management; - medication management, prescription review, and prescribing; - diagnostic testing review; - specialty referral review and coordination; - emergency consultation and hospital transfer consultation; - follow-up care and continuity-of-care services; - telehealth services; - psychiatric services, if assigned and within Physician’s specialty and scope; - MAT-related clinical services and withdrawal management services, if assigned; - documentation of clinical encounters, orders, consultations, and follow-up instructions; and - coordination with nursing staff, behavioral health staff, custody staff, jail administration, outside providers, and Company leadership as clinically appropriate.
