Corporate Counsel - Advisory Services and Sourcing

UL Solutions is seeking a practical, business‑minded Counsel to join our Commercial Center of Excellence within the UL Solutions Legal Department. This role is a strategic partner to our global business teams, with a focus on those providing advisory services (including the Emergo by UL business and the Healthy Buildings business). This attorney will provide practical, business-oriented legal advice on contracts, commercial transactions, risk management, and related matters. This is a hybrid position requiring three days per week in a UL Solutions office in the United States. The preferred location is Northbrook, IL (UL Solutions headquarters), Austin, TX (headquarters of Emergo by UL business), or Chicago, IL. ### Responsibilities - Contracting: Negotiate and draft a wide range of commercial agreements, including master services agreements, terms and conditions, confidentiality agreements, and related documentation. - Business Partnership: Serve as a trusted advisor to business leaders, delivering clear, actionable guidance on commercial and operational issues. - Process Optimization: Lead initiatives to streamline contracting processes, develop and maintain playbooks, and enhance contract lifecycle management tool (Ironclad). - Risk Management: Identify and mitigate legal and operational risks in new and existing service offerings; provide pragmatic solutions aligned with business objectives. - Cross-Functional Collaboration: Work closely with global stakeholders to implement best practices and ensure compliance with internal policies and applicable laws. - Continuous Improvement: Contribute to legal department projects, policy development, and operational enhancements. ### Qualifications - Minimum 5 years of legal experience. - Strong contract drafting and negotiation skills. - Ability to communicate complex legal concepts in clear, concise, business-friendly language. - Strong organizational skills; adept at handling multiple priorities for multiple stakeholders. - Business mindset, including continuously learning the business and its needs and delivering agile legal support that advances business goals. - Intellectual curiosity and creative problem-solving. - Collaborative mindset and adaptability in a fast-paced, evolving environment. - Commitment to integrity and excellence. - Juris Doctor (JD) from an accredited law school and active state bar membership in good standing.
