This role offers the opportunity to work on sophisticated capital markets operations, supporting the legal structuring and management of investment funds. You will be responsible for providing legal expertise in the creation, registration, and ongoing administration of FIIs and FIPs, ensuring regulatory compliance and operational excellence. The role combines technical analysis, stakeholder management, and exposure to innovative solutions within the capital markets environment. ### Accountabilities: The Analista Jurídico FIIs e FIPs - Pleno/Sênior will support the legal structuring, documentation, and regulatory compliance of investment fund operations, with a focus on Real Estate Investment Funds (FIIs) and Private Equity Investment Funds (FIPs). The role requires ownership of legal processes, attention to detail, and the ability to manage complex transactions with multiple stakeholders. - Draft and review legal documents related to fund operations and public offerings, including regulations, supplements, incorporation documents, service agreements, investment commitments, shareholder agreements, and asset acquisition documents. - Support the structuring, registration, and monitoring of FIIs and FIPs, ensuring legal accuracy throughout the lifecycle of each operation. - Participate in meetings with asset managers, structurers, law firms, and service providers, negotiating contractual clauses and managing legal demands independently. - Conduct and monitor legal due diligence processes, including real estate due diligence for FIIs and corporate due diligence involving invested companies in FIPs. - Ensure compliance with applicable regulations from regulatory bodies, including CVM rules, ANBIMA guidelines, and investment fund legislation. - Support internal administration and operations teams in interpreting legal documents and implementing approved fund structures. - Monitor regulatory updates and evaluate their impact on managed funds, recommending adjustments to processes and documentation. - Maintain organized and updated legal records, documentation, and operational files. - Contribute to continuous improvement initiatives related to legal processes, governance, and compliance practices. ## Requirements: The ideal candidate is a legal professional with experience in investment funds and capital markets, capable of managing complex legal matters with autonomy and strong analytical skills. This role requires technical expertise, attention to detail, and effective collaboration with internal and external stakeholders. - Bachelor’s degree in Law and active registration with the Brazilian Bar Association (OAB). - Minimum of 3 years of experience working with investment funds, preferably FIIs and FIPs. - Strong knowledge of CVM and ANBIMA regulations, including CVM Resolution 175 and its specific annexes for FIIs and FIPs. - Experience with legal drafting, document review, and regulatory analysis. - Strong organizational skills and ability to manage multiple projects and priorities. - Excellent communication and relationship-building skills with different stakeholders. - Ability to work independently, demonstrate ownership, and operate in complex financial environments. - Advanced English skills (reading, writing, and speaking) are desirable. - Experience with cross-border transactions, corporate governance of invested comp…
